§ 2.50 BOARDS AND COMMISSIONS GENERALLY.
   Subd. 1.   All board and commission appointments shall be made by the Mayor, and such appointment confirmed by the Council at the first regular meeting in December of each year, for three-year staggered terms. Provided, that appointments for less than full terms may be established and stated at the time of appointment. New appointees shall assume office on January 1, December 31 being the date of expiration of terms. No member of a board or commission shall hold over after expiration of the term for which the member was appointed or after the office has been vacated for any other reason.
   Subd. 2.   All vacancies shall be filled in the same manner as for an expired term, but the appointment shall be effective immediately when made and only for the unexpired term. All appointed board and commission members shall serve without remuneration, but may be reimbursed for out-of- pocket expenses incurred in the performance of their duties, when the expenses have been authorized by the Council before they were incurred.
   Subd. 3.   The Chairperson and Secretary shall be chosen from and by the board or commission membership annually to serve for one year; provided that no chairperson shall be elected who has not completed at least one year as a member of the board or commission. Any board or commission member may be removed by the Mayor, with the advice and consent of the Council, for misfeasance, malfeasance or nonfeasance in office and his or her position filled as any other vacancy.
   Subd. 4.   Any member absent from more than three consecutive regular meetings shall be deemed to have forfeited his or her seat and a vacancy shall exist without formal removal proceedings. Each Board and Commission shall hold its regular meetings on a day and at a time established by it and approved by the Council. All members shall be residents of the city, except members of the Business Development Board shall have either a business interest within the city limits or be a resident of the city. All action taken shall be by recorded roll call vote. A copy of minutes of each meeting shall be furnished to the City Administrator for transmittal to the Council.
   Subd. 5.   Each Board and Commission shall furnish the City Administrator with a brief summary of its activities at the end of each year. A simple majority of a board or commission shall constitute a quorum. Each board and commission shall adopt rules for the transaction of its business.
   Subd. 6.   Except to the extent otherwise specifically provided by the Charter or the City Code, this section shall apply to all boards and commissions.
