§ 5-2-107. Board of Trustees – Quorum; meetings; expenses.
   (a)   Trustees allowed one vote. Each Trustee is entitled to one vote on the Board. Except as provided in § 5-2-201(e)(2), a Trustee may not vote by proxy.
   (b)   Quorum. A majority of the Trustees then serving on the Board is a quorum for the transaction of any business; the exercise of any power; or the performance of any duty authorized or imposed by law. The affirmative vote of seven of the Trustees then serving on the Board is sufficient for the taking of any action.
   (c)   Meetings. The Board shall set the times and places for, and give notice of, its meetings.
   (d)   Compensation. A Trustee may not receive compensation from any source for service as a Trustee and is entitled to reimbursement for expenses the Board authorizes. This subsection does not prevent a Trustee who is a County employee from receiving the employee's wages from the County.
