4.20.107.9.1 The ordinance codified in this title and all franchise agreements are governed by the laws of the state of California, without regard to its conflicts of laws principles, except to the extent that California law is preempted by federal statutes or regulations.
4.20.107.9.2 Any action or proceeding instituted by any franchisee against the city shall be instituted and prosecuted in the appropriate state court for the county of San Bernardino, California. By its acceptance of a franchise agreement and performance thereunder, a franchisee will be deemed to have waived the benefit of any statute or judicial decision (whether of federal or state origin) providing for a change of venue to either another state court or federal district court. The foregoing waiver includes, without implied limitation, any benefits provided to the franchisee pursuant to California Code of Civil Procedure Section 394 and all other federal or state statutes of similar effect, including, without implied limitation, any federal statute providing for federal district court jurisdiction due the diversity of citizenship between the city and any franchisee, or due to the fact that a question of federal law is alleged or involved.
