§ 32.57 ORGANIZATION; MEETINGS; RECORDS.
   (A)   There shall be a Chairman, Vice Chairman, and Secretary elected annually by the Marketing Advisory Committee members at the regular meeting in February. The Committee shall adopt rules of procedure for the conduct of its business that shall be effective following approval by the Board of Aldermen. Subsequent changes to the rules of procedure shall also be subject to approval by the Board of Aldermen. The Committee shall keep minutes of the meetings and records of the members' attendance, discussions, and recommendations, all of which minutes and such records shall be furnished to the Board of Aldermen. The records shall be considered public records.
   (B)   The Marketing Advisory Committee Chairman shall preside at all meetings and sign all documents relative to action taken by the Committee. When the Chairman is absent, the Vice-Chairman shall perform the duties of the Chairman. When both the Chairman and Vice-Chairman are absent, a temporary Chairman shall be selected by those members who are present.
   (C)   The Marketing Advisory Committee shall hold a meeting in February of each year and at least five additional meetings during the remaining calendar year based on a schedule adopted at the February meeting. The Committee's adopted meeting schedule shall be approved by the Board of Aldermen at the Board’s March meeting. The Chairman, or in his or her absence the Vice-Chairman, may call a special meeting of the Marketing Advisory Committee at any time. Notice of special meetings and changes to the adopted meeting schedule shall be given in accordance with G.S. § 143-318.9 et seq. All meetings shall be open to the public and subject to the provisions of G.S. Ch. 143, Article 33C, regarding open meetings. A quorum of the Marketing Advisory Committee shall be in attendance before action of an official nature can be taken.
   (D)   Routine business shall include issues pertinent to the successful marketing of the community in relation to tourism as well as a review of applications being submitted from the Board of Aldermen for funding projects, programs, or equipment supporting the community's efforts to attract and support the tourism industry.
   (E)   The Board of Aldermen shall have the authority to remove any member who misses three consecutive regular meetings or more than four total meetings in a one-year period. It shall be the responsibility of the Chairman of the Committee to advise the Board of Aldermen of any member who misses three consecutive regular meetings or more than a total of four meetings in a one-year period. Absences due to sickness, death, or other emergencies of a like nature shall be regarded as approved absences and shall not affect the member's status on the Committee. However, in the event of a long illness, or other such cause for prolonged absences, the Chairman of the Marketing Advisory Committee shall advise the Board of Aldermen of the situation, and the Board of Aldermen may remove the member. In the event the Board of Aldermen removes a member because of his or her failure to comply with the attendance requirements set forth herein, the Board of Aldermen shall notify the Chairman of the Committee, in writing, that the member has been removed. Each member shall notify the Chairman, Vice-Chairman, or Secretary at least 48 hours before a regular meeting when an absence is anticipated.
   (F) Subject to prior approval by the Board of Aldermen, the Marketing Advisory Committee may appoint sub-committees composed exclusively of members of the Marketing Advisory Committee. The role and duration of each sub-committee must be clearly defined and approved by the Board of Aldermen. It is the responsibility of the Marketing Advisory Committee Chairman to insure that all appointed members of the Marketing Advisory Committee be fully informed of actions and decisions made by each sub-committee.
