2-1-3: ORGANIZATION:
   A.   Officers: In May of each year, the members of each advisory board or commission shall select a Vice Chairman and Secretary to serve as officers of the board or commission for a one year term to expire on April 30 next following their selection as such officers.
   B.   Quorum: A majority of the authorized membership of the board or commission shall constitute a quorum for the conduct of official business. A duly constituted quorum shall be required to make recommendations to the Mayor and Board of Trustees. (1976 Code §2-107)
   C.   Meetings:
      1.   Regular And Special Meetings; Open To The Public: Boards and commissions shall have regular meetings at such times as the board or commission may designate and may have special meetings called in such manner and upon such reasonable notice as is required by law. All meetings of the board or commission shall be open to the public, in accordance with law. (1976 Code §2-110)
      2.   Meeting Rooms: Meeting rooms of the Village shall be made available to the board or commission for its meetings subject to the general direction of the Village Administrator. (1976 Code §2-110)
      3.   Nonattendance At Meetings: A majority of the members present and voting at any regular meeting of a board or commission may excuse a member from attendance at a regular meeting, for reasons of health, business, or other good cause; provided, that such excused absence shall be entered into the minutes of such meeting. Absence from three (3) consecutive regular meetings without excuse shall automatically vacate the office of any members. (1976 Code §2-106)
      4.   Attendance by members of boards and commissions at open meetings other than by physical presence: (a) If a quorum of the members of a public body is physically present as required by Section 2.01 of the Illinois Open Meetings Act (5 ILCS 120/1, et seq.), a majority of the public body may allow a member of that body to attend the meeting by other means if the member is prevented from physically attending because of: (i) personal illness or disability, (ii) employment purposes or the business of the public body, or (iii) a family or other emergency. "Other means" is by video or audio conference; (b) If a member wishes to attend a meeting by other means, the member must notify the recording secretary or clerk of the public body before the meeting unless advance notice is impractical; (c) A majority of the public body may allow a member to attend a meeting by other means only in accordance with, and to the extent allowed by, the Illinois Open Meetings Act adopted by the corporate authorities. The rules must conform to the requirements and restrictions of this Section, may further limit the extent to which attendance by other means is allowed, and may provide for the giving of additional notice to the public or further facilitate public access to meetings.
   D.   Rules Of Order And Procedure: Subject to the provisions of this title, boards and commissions may adopt such rules of order and procedure for the conduct of its business as it deems necessary and appropriate.
   E.   Records: Boards and commissions shall keep written records of all their meetings and proceedings, which records shall be open for public inspection during regular business hours at the Village offices.
