§ 92.02 CEMETERY BOARD.
   (A)   Creation and establishment of a City Cemetery Board. There is hereby created and established a City Cemetery Board, which shall consist of five members with at least one member to be a Council member, and including citizens and residents of the city who shall be appointed by the Mayor with the approval of the Council.
   (B)   Term of office. The term of the five persons to be appointed by the Mayor shall be three years; except that, the term of two of the members appointed to the first Board shall be for only one year and the term of two members of the first Board shall be for two years. In the event that a vacancy shall occur during the term of any member, his or her successor shall be appointed for the unexpired portion of the term.
   (C)   Compensation. Members of the Board shall serve without compensation.
   (D)   Duties and responsibilities.
      (1)   It shall be the responsibility of the Board to study, investigate, counsel, develop, fundraise and/or update annually and administer a written plan known as the Wilmore Cemetery Policy Manual for the care, preservation and maintenance of the Wilmore Cemetery. Such plan will be presented annually to the City Council and, upon its acceptance and approval, shall constitute the official Cemetery Policy Manual for the city. In connection with its development of a Policy Manual, the Board will develop a vision or purpose statement for the Wilmore Cemetery.
      (2)   The Board will promote and encourage the use and betterment of the Wilmore Cemetery and, in turn, foster community support for the cemetery.
      (3)   The Board, when requested by the City Council, shall consider, investigate, make findings, report and recommend upon any special matter of question coming within the scope of its work.
      (4)   The Board will abide by and recommend future amendments to the rules and regulations of the Wilmore Cemetery adopted by the city by and through its legislative body the City Council.
      (5)   The Board will study, investigate and develop an oral history for the Wilmore Cemetery and a walking tour. The Board will determine if after studying and investigating the history of the Wilmore Cemetery if a walking tour is feasible and advisable. The Board will update the Council annually as to its findings.
   (E)   Operation. The Board shall choose its own officers, make its own rules and regulations (subject to Council approval and oversight) and keep a journal of its findings. A majority of the members shall be a quorum for the transaction of business.
   (F)   Review by City Council. The City Council shall have the right to review the conduct, acts and decisions of the city’s Cemetery Board.
