(A) Board of Trustees - generally. The Board of Trustees shall constitute the legislative body of the town; shall have the power and authority, except as otherwise provided by statute, to exercise all power conferred upon or possessed by the town; and shall have the power and authority to adopt such laws, ordinances and resolutions as it deems proper in the exercise thereof.
(B) Mayor - generally. The Mayor shall be a member of the governing body and the Board of Trustees with the same voting powers as any Trustee. The Mayor, or in his or her absence, the Mayor Pro Tem, shall preside at all meetings of the Board of Trustees and shall perform such duties as may be required of him or her by statute or ordinance.
(C) Mayor Pro Tem. At its first meeting after each regular election, the Board of Trustees shall choose one of the Trustees as Mayor Pro Tem who, in the absence of the Mayor from any meeting of the Board or during the Mayor’s absence from the town or his or her inability to act, shall perform the Mayor’s duties. If neither the Mayor nor the Mayor Pro Tem is present at a meeting of the Board of Trustees, the members present shall determine by majority vote who shall serve as Chair of the meeting.
(D) Regular meetings; special meetings; work sessions; notice.
(1) The regular meetings of the Board of Trustees shall be held on the fourth Wednesday of each month at 7:00 p.m. at Town Hall when there is town business to be discussed; provided, however, that when the date fixed for any regular meeting of the Board of Trustees falls upon a day designated by law as a legal or national holiday, the regular meeting shall either be vacated or rescheduled to an alternative date and time, as determined by the Board of Trustees. A regular meeting may be canceled by motion adopted at a prior meeting. The Board of Trustees may amend this schedule from time to time by resolution.
(2) Special meetings may be called by the Mayor or any two members of the Board of Trustees. Notice of special meetings shall be personally served on each of the Trustees and/or Mayor or left at his or her usual place of residence at least 24 hours before the meeting shall convene or sent by electronic mail to the member’s e-mail address. The notice of the meeting shall include the date, time, place and purpose of the meeting. No business shall be transacted at a special meeting, except as provided in the notice.
(3) If a quorum is not present at a regular or special meeting, a majority of the members of the Board of Trustees present may continue the meeting to a future date and time, but may take no other action.
(4) The Board of Trustees shall hold work sessions, as needed, on the first, third or fourth Wednesday of each month at 7:00 p.m. at Town Hall. No ordinance or resolution may be adopted at any work session, nor any motion taking final action on a matter before the Board. No executive session may be held within a work session. There shall be made written action minutes of each work session identifying any action taken.
(5) All meetings shall be open to the public, and notice shall be given as provided by law.
