§ 22.038 OFFICERS; RULES; MEETINGS.
   (A)   There shall be a Chairperson and Vice-Chairperson of the Parks and Recreation Advisory Committee. An annual election of the Chairperson and Vice-Chairperson shall be held by the Committee members and shall occur at the regular meeting in January. Officers shall serve for one year from beginning with their election, with eligibility for re-election. In the event an officer’s appointment to the Committee is terminated, a replacement to this office shall be elected by the Committee, from its membership, at the meeting following the termination. The Parks and Recreation Director or his or her designee shall serve as Secretary of the Committee.
   (B)   The members of this Committee shall propose bylaws for the transaction of business for their meetings, subject to the approval of such bylaws by the City Council. A copy of the approved bylaws shall be filed with the City Clerk and shall constitute a public record. These bylaws may be amended by a majority vote of the full committee with the approval of the City Council.
   (C)   The Parks and Recreation Advisory Committee is a public body and shall meet for the purpose of organization at their regular scheduled meeting in January of each year and setting the meeting schedule for the year. This Committee shall meet once each quarter, beginning in January and ending in December every calendar year. The Chairperson, or in his or her absence, the Vice-Chairperson, may call a special meeting of the Committee at any time in compliance with the Open Meetings Law, being G.S. Ch. 143, Article 33C. It is prohibited by the City Council that this Committee conduct “closed” or “executive” session meetings.
   (D)   A quorum of the Committee shall be in attendance before action of an official nature can be taken. A quorum shall consist of four of the seven appointed Committee members. All Parks and Recreation Advisory Committee meetings shall be open to the public.
   (E)   Committee members who miss more than four consecutive regular meetings or more than five total meetings during any three-year term of membership on the Parks and Recreation Advisory Committee without just cause may be removed from the Committee by the City Council. Absence due to sickness, death or other emergencies of like nature, shall not be held against the member. However, in the event of a long illness or other extended absence, said extended absence may be grounds for replacement by the City Council.
