2-2-2: APPOINTMENT AND COMPOSITION:
   A.   Members: The commission shall consist of seven (7) members appointed by the village president, with the advice and consent of the village board, who shall serve as voting members (collectively, the "members" and individually a "member"). In addition, the village president shall appoint an ex officio member from the board of trustees to the commission, with the advice and consent of the village board, as a nonvoting, advisory member of the commission. At the discretion of the village president, other nonvoting, advisory members may be appointed to assist the commission in carrying out its duties as described in this code, but in no instance shall such nonvoting, advisory members possess the right to vote on proceedings before the commission.
   B.   Qualifications: Five (5) members of the commission shall be residents of the village. Up to two (2) members may be nonresidents. It is a primary consideration that qualified persons having an interest in the history and architectural heritage of the village be appointed to the commission. The village president shall make every possible effort to appoint members with knowledge and expertise in the field of architecture, real estate, building/construction and other related disciplines.
   C.   Term And Vacancies: All appointments shall be made for a term of three (3) years. Vacancies on the commission shall be filled for the unexpired term of the member whose place has become vacant in the same manner in which the original appointments are required to be made. All members shall hold their office for their respective terms and until their successors are appointed. Each advisory, nonvoting member of the commission shall hold their office until such member resigns or is removed by the village president.
   D.   Compensation: Each attending member of the commission shall receive thirty dollars ($30.00) for each meeting attended. The chairman shall receive thirty five dollars ($35.00) for each meeting attended.
   E.   Officers Of The Commission:
      1.   Chair: The village president, with the advice and consent of the village board, shall appoint a chairman of the commission from among the members of the commission. The chairman shall have the duty of calling all meetings and shall preside at all meetings of the commission.
      2.   Secretary: The village clerk or deputy village clerk shall act as recording secretary to the commission. The secretary shall have the duties of: a) retaining the documents and specifications submitted to the commission by applicants for certificates of appropriateness; and b) submitting minutes of the meetings and written findings which set forth the commission's decisions to the village manager and village clerk within seven (7) business days of such commission meeting.
