§ 32.39 ORGANIZATION.
   (A)   The members of the Citizens Advisory Board shall meet within 30 days after the last appointment to the Board and shall select a Chairperson, a Vice-Chairperson and Secretary of the Board. The Board shall meet annually in January of each year for the purpose of selecting a Chairperson, Vice-Chairperson and Secretary. The Chairperson, Vice-Chairperson and Secretary shall continue to serve until a successor shall have been selected.
   (B)   The Citizens Advisory Board shall adopt such bylaws, rules, regulations and/or procedure and select such other officers as it may deem necessary and advisable to properly conduct its business. For the purpose of transacting business, a majority of the membership shall constitute a quorum. A vacancy in the membership shall not impair the right of a quorum to transact business. Actions of the Citizens Advisory Board are not effective unless accomplished at a regular or special meeting by a majority of the members present at said meeting; provided that, a quorum exists.
   (C)   The Citizens Advisory Board shall meet at least once during the calendar quarter for the purpose of conducting its business and carrying out its duties, and at such other regular and/or special times as provided in its bylaws or rules of procedure, or by vote of its members.
