153.02  COMPOSITION AND TERMS.
   (a)   The Historic District Commission shall consist of five members appointed by the Mayor, subject to the approval of a majority of the members of Council.  In the event that any vacancy shall not be so filled within sixty days, any member of Council may nominate a qualified individual to fill the vacancy, subject to the approval of a majority of the members of Council.
   (b)   All members shall be a resident or business owner or a property owner of the Historic Overlay District or an authorized representative of a property owner or business owner of the Historic Overlay District.
   (c)   Appointments to the Historic District Commission shall be for three-year terms.  Vacancies shall be filled for an unexpired term in the same manner as the original appointment.  Of the initial appointments, two members shall serve a three-year term, two members shall serve a two-year term and one member shall serve a one-year term.  All members of the Commission shall serve without compensation.
   (d)   At the first meeting of each calendar year, the Commission shall elect a chair and a vice-chair from its members for the remainder of the year.
   (e)   A simple majority of the members shall be a quorum for the transaction of business.  Members who do not approve or concur with the outcome of a vote have the right to state, as part of the minutes, their reasons for refusing to approve or concur.
   (f)   All Commission meetings shall be held at the Municipal Building or other public place.  Written meeting minutes and the results of review decisions shall be available for public inspection.  Meetings shall be held quarterly or more often if necessary.
