§ 38.20 LEGAL COSTS AND LIABILITIES.
   Any elected official, appointed board member or confidential administrative employee, who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that such person is or was an elected official, appointed board member or confidential administrative employee, or by reason of any act committed by, vote made or action taken by such elected official, appointed board member or confidential administrative employee in the performance of his or her duties or responsibilities in such position, shall be indemnified by the Township against expenses (including attorneys' fees and expenses and court costs), judgments, fines, excise taxes and amounts paid in settlement actually and reasonably incurred by such person in connection with such action, suit or proceeding to the fullest extent permitted by the laws of the State of New Jersey as in effect at the time of such indemnification; provided, however, that no such indemnification shall occur, and any amounts expended by the Township in furtherance of this indemnification up to such time must be immediately reimbursed to the Township, if such elected official, appointed board member or confidential administrative employee is finally determined in such action, suit or proceeding to have committed fraud or knowingly and intentionally committed a criminal act or shall have knowingly and intentionally violated any law with respect to conflict of interest, self dealing or similar conduct.
