SECTION VIIA-1. Membership and Organization.
   There is hereby created and established a City Parks and Recreation Board which shall consist of seven (7) persons, one of whom shall be a member of the Board of Education of the Vermilion Local School District or its designee. All shall be residents of the Municipality except the School Board member or designee who shall be a resident of the Vermilion School District. The members shall be appointed by the Mayor, subject to confirmation by a majority of the members of Council and shall serve for terms of three (3) years. The Board of Education of the Vermilion Local School District shall recommend to the Mayor the member of its Board or its designee to be appointed by the Mayor, pursuant to the provisions of this section. The members presently serving on the Parks and Recreation Board shall continue to be members of the City Parks and Recreation Board until their terms expire. The Mayor and one member of Council selected annually by the Council shall be ex-officio members of the City Parks and Recreation Board and shall have all the powers, duties and rights of any other member of the Board except that they shall not have the right to vote on any issue.
   The Board shall choose from its seven (7) members, a Chairman, a Secretary and such other officers it shall deem necessary; make its own rules and regulations; and shall keep a journal of its proceedings. The Board shall elect or re-elect its officers at its first regular meeting in January of each year. A simple majority shall elect. Members of the Board shall serve without compensation unless otherwise provided by ordinance.
   Vacancies on the Board occurring otherwise than by expiration of terms, shall be for the unexpired terms and shall be filled in the same manner as the original appointments.
   The Board shall meet at least bi-monthly. A majority of the voting members of the Board shall constitute a quorum for the transaction of business and the affirmative vote of four (4) voting members shall be necessary for any official action.
