§ 31.05 ORGANIZATION; MEETINGS; QUORUM.
   (A)   The Commission shall meet for the purpose of organization as soon as reasonably possible after its creation on joint call from the Mayor of the City of Henderson and the Chairperson of the Vance County Board of Commissioners. The Commission shall elect its own officers, which shall include a Chairperson, a Vice-Chairperson, a Secretary and a Treasurer, and shall propose bylaws for the transaction of its business subject to approval of the bylaws by both governing bodies. A copy of the bylaws shall be filed with the City Clerk of the City of Henderson and with the Clerk of the Board of Commissioners of Vance County for inspection by interested parties and shall constitute public records.
   (B)   (1)   The Commission shall hold meetings as provided by the bylaws, or when called by the Chairperson, Vice-Chairperson or any 3 members of the Commission at any time upon 20-hours’ written or telephone notice to all of its members. All meetings shall be open to the general public except those authorized by law to be in executive session (e.g., those considering action necessary to deal with a riot or civil disorder or with conditions that indicate that a riot or civil disorder is imminent). It shall keep minutes of its meetings in which shall be recorded all action taken in its public meetings that it considers. These minutes shall be public records.
      (2)   The Commission can invite and receive suggestions from the public concerning any and all matters within the scope of its duties.
   (C)   While a quorum shall consist of a majority of the members of the Commission, no expenditure shall be made and no official action shall be taken or official recommendation made unless upon the affirmative concurrence of 2/3 of the members of the Commission (without proxies).
