The Board shall elect one member as Chairman at the first meeting of each calendar year. Should the Chairman cease to serve, then the member of longest tenure on the Board shall serve as Chairman until an election is held at the next meeting. All actions shall be by motion or resolution. Two members of the Board shall constitute a quorum and it shall require the affirmative vote of two members to adopt any motion or resolution.
