(A) Definition. For the purpose of this section, the following definition shall apply unless the context clearly indicates or requires a different meaning.
BOARD. The Thorntown Utility Service Board.

(B) Members. The members of the Board shall be resident householders of the “town utility service area” and shall be appointed by the Council. No more than two-thirds of the members of the Board shall be members of the same political party.
(C) Created; purpose. The Town Utility Service Board, consisting of three members, is hereby created, which Board shall operate and manage the town electric utility and the town waterworks utility.

(D) Members generally. The members of the Board shall be resident householders of the town and shall be appointed by the Council. No more than two-thirds of the members of the Board shall be members of the same political party.

(E) Compensation. The compensation of each member of the Utility Service Board shall be $400 per year and shall be paid as follows: the first quarter of each member’s salary shall be paid on March 30, the second quarter shall be paid on June 30, the third quarter shall be paid on September 30, and the remaining quarter shall be paid on December 30 of each year, such payments to be made from the funds of either of the utilities and in such proportions as shall be determined by the Board in its discretion.

(F) Appointment, terms of members.
(1) All members of the Board shall be appointed to serve for four-year staggered terms, beginning and ending on January 1. Upon the expiration of the term of any member of the Board, his or her successor shall be appointed by the Town Council, such appointment to be made during the month of December prior to the expiration of such term.
(2) Any vacancies in the membership of the Board caused by death, resignation, or any other cause shall be filled by appointment for the unexpired term of the vacating member. All members of the Board shall hold office for the term for which appointed, and until their successors are duly appointed and qualified.

(G) Filling vacancies. All vacancies in the Utility Service Board shall be filled by appointment by the Council.

(H) Powers, duties. The Utility Service Board shall have all the powers, authorities, and duties conferred upon such Board by I.C. 8-1.5-3-4.
