§ 31.04 ELECTRIC UTILITY BOARD.
   (A)   The City Electric Utility Board shall consist of six members, not more than a majority of whom shall be members of the same political party. Four members of the Electric Utility Board shall be appointed by the Mayor, and two members of the Electric Utility Board shall be appointed by the Common Council. All members shall serve a term of four years. In the event a member fails for any reason to complete his or her term of office, a successor shall be appointed to complete the term of office. If the office was one originally appointed by the Mayor, the Mayor shall appoint a successor. If the office was one originally appointed by the Common Council, the Common Council shall appoint a successor. Not more than two of the appointees by the Mayor shall be members of the same political party, and not more than one of the appointees of the Common Council shall be members of the same political party.
   (B)   Within seven days after the Mayor or the Common Council has appointed a person to serve as a member of the Electric Utility Board, the person shall file with the Clerk-Treasurer of the city an executed oath of office in a form customarily used for the qualification of municipal officers. In the event that a member fails to take and file the oath of office within seven days after his or her appointment, his or her place on the Board shall automatically be vacant.
   (C)   The Mayor may suspend or remove from office any member of the Electric Utility Board appointed by him or her or a prior executive by notifying the members to that effect and sending a written statement of the reasons for the suspension or removal to the Common Council. The Common Council may suspend or remove from office any member of the City Electric Utility Board appointed by it or a prior council by notifying the member to that effect and sending a written statement of the reason for the removal to the Mayor.
   (D)   The members of the Electric Utility Board shall hold regular meetings at least once in each calendar month. The members of the Electric Utility Board shall elect a chairman who shall serve for a period of one year and until his or her successor is duly elected. In addition, the Electric Utility Board shall adopt rules and regulations governing the time and place for the holding of its regular meetings, and provide for the procedure of calling special meetings. A copy of the rules and regulations and all subsequent amendments thereto shall be placed on file in the office of the City Clerk-Treasurer within three days after their adoption. The Chairman of the City Electric Utility Board and each other Board member shall receive a salary as determined by the Common Council.
   (E)   The Electric Utility Board shall have all powers and duties prescribed by the provisions of I.C. 8-1.5-3-4, except as specifically set forth herein.
   (F)   The Chairman of the Electric Utility Board, or his or her designee, shall submit a monthly written report to the Mayor and the Common Council describing the condition and operations of the Municipal Electric Department. In addition, upon the request of the Common Council, the City Electric Utility Board Chairman, or his or her designee, shall personally appear before the Common Council to describe the operations of the Municipal Electric Department.
   (G)   The Common Council shall have all the authority vested in it pursuant to the provisions of I.C. 8-1-2-101. The Electric Utility Board, prior to awarding or entering into any contract involving a project covered by the provisions of I.C. 8-1-2-101, shall obtain the prior approval of the Common Council.
   (H)   The Electric Utility Board shall submit to the Common Council its annual budget within ten days after its completion for the Common Council to review and approve.
