§ 111.01  DEFINITION.
   For the purpose of this chapter, the following definition shall apply unless the context clearly indicates or requires a different meaning.
   GRANTEE or COMPANY.  The grantee, or its successors and assigns, to whom the town has granted the nonexclusive right, privilege, and permit to construct, maintain, and operate a community cable television and broadbank communications system within the corporate limits of the town and its environs, to furnish and sell the service from such system to inhabitants of the town and its environs, and to use and occupy the street, alleys, and other public places within the town for placement of wires, cables, poles, and other supporting structures necessary to the system.

§ 111.02  CONSTRUCTION AND MAINTENANCE.
   (A)   So far as practical, the grantee shall use existing poles.  New poles will be placed only at locations where existing poles are inadequate or not available and would not cause public inconvenience.  Buried cable plant may also be utilized where practical.
   (B)   Any streets or sidewalks disturbed or damaged in the construction or maintenance of the system shall be promptly repaired to the satisfaction of the town by and at the expense of the grantee.
   (C)   All wires, cables, poles, and other supporting structures necessary to the system, erected within the corporate limits of the town by the grantee, shall at all times meet with the minimum standards of the town, as provided by this code or any other ordinance of the town.

§ 111.03  INDEMNIFICATION OF TOWN.
   The grantee shall hold the town harmless from all claims for damages arising out of the construction, maintenance, or operation of the cable television system.

§ 111.04  FRANCHISE SUBJECT TO FORFEITURE.
   The franchise is subject to forfeiture by the town if the company fails to abide by the terms specified in this chapter.

§ 111.05  SALE AND REPAIR OF TELEVISIONS PROHIBITED.
   The grantee promises to refrain from entering into the retail business of selling television sets or related equipment or to repair or maintain such equipment other than its own and voluntarily prohibits itself from doing so.

§ 111.06  PROVISIONS BINDING; TRANSFER OR ASSIGNMENT.
   (A)   All provisions of this chapter shall be binding upon the grantee, their successors, lessees, and assigns, and all the rights, authorities, powers, grants and privileges shall be held to insure to the benefit of the grantee, successors, lessees, and assigns.
   (B)   Any transfer or assignment of any of the rights, privileges, or permits contained herein shall require the consent of the town.
