If, at any time, the grantor shall vacate any road, right of way or other public property which is subject to rights granted by this franchise, such vacation shall be subject to the reservation of a perpetual easement to the grantee for the purpose of operating and maintaining the existing facilities of the grantee and other public utilities. The grantor shall, in its vacation procedure, reserve and grant said easement to the grantee for grantee's facilities and shall also expressly prohibit any use of the vacated properties, which will interfere with grantee's full enjoyment and use of said easement, provided that the grantor has notified the grantee of such pending vacation and the grantee has notified grantor of the presence of its facilities or needs.
