(A) The Grantee shall incorporate into its Cable Television System the capacity to permit the Village, in times of emergency, to override by telephone from a remote location, the audio portion of all analog Channels simultaneously, which the Grantee may lawfully override. The Grantee shall cooperate with the Village in the use and operation of the emergency alert override system. The Village shall indemnify and hold harmless the Grantee from any damages or penalties arising out of the actions of the Village, its employees, or agents in using such service.
(B) Upon Grantee's determination that it is able to override digital Channels and at such time it is required to do so under the rules and regulations of the Emergency Alert System (EAS), it shall notify the Village in writing of the municipal utilization procedure.
