Article V
Powers, Meetings and Compensation of Trustees
   Section 1.    Powers of Trustees. The powers of the RCRAC shall be exercised, its affairs conducted and its property controlled by the Board of Trustees, except as otherwise provided in these Regulations or the Rossford Municipal Code.
   Section 2.    Meetings of the Board. A regular meeting of the Board of Trustees shall be held upon the call of the President. Special meetings of the Board of Trustees can be held at any time upon call of the President or any two trustees.
   Notice of any regular or special meeting of the Board of Trustees shall be mailed to each trustee, addressed to him or her at his or her residence or usual place of business, at least seven days before the day on which the meeting is to be held, or shall be given personally or by telephone, not later than the day before the day on which the meeting is to be held. Every such notice shall state the time, place and purpose of the meeting. Notice of any meeting of the Board need not be given to any trustee, however, if waived by him or her in writing, whether before or after such meeting is held, or if he or she shall be present at such meeting. In all other respects Chapter 115 of the Rossford Municipal Code (Open Meetings) shall be complied with.
   All meetings of the Board shall be held at such time and place, within or without the State of Ohio, as the Board may determine from time to time and may be specified in the notice thereof.
   Section 3.    Quorum. A majority of the Board of Trustees shall constitute a quorum for the transaction of business, provided that whenever less than a quorum is present at the time and place appointed for any meeting of the Board, a majority of those present may adjourn the meeting from time to time until a quorum shall be present.
