§ 34.12 CREATION OF BOARD, APPOINTMENTS AND TERMS.
   (A)   Creation. In order to better implement the policies and procedures of the After School Care Program and to supervise personnel employed by the program there is hereby created the After School Care Board of Directors.
   (B)   Composition; appointment; terms.
      (1)   The After School Care Board of Directors shall be composed of nine members.
      (2)   The Mayor of the city, with the approval of the City Commission, shall appoint the members of the Board.
      (3)   The Board of Directors shall be appointed for terms of three years, provided, that in making the initial appointments, the Mayor shall appoint three Commissioners for a term of three years, three Commissioners for a term of two years, and three Commissioners for a term of one year.
      (4)   Vacancies shall be filled in the same manner that original appointments are made.
      (5)   The Board shall elect from its membership a chairman, secretary and a treasurer and as a body make such contracts as are necessary to effectively operate the After School Care Program. Such contracts may include, but shall not be limited to, the procurement of promotional services, advertising services and other services and materials relating to and relevant for the success of the After School Care Program. All actions of the After School Care Program Board of Directors shall be within the guidelines of their policy and procedures manual and their budget, both of which must be approved by city order and properly adopted by the City Commission.
      (6)   The After School Care Program Board and all personnel of the program are bound by all existing city ordinances and state laws including, but not limited to, open meetings laws and procurement laws.
      (7)   All accounts and finances of the After School Care Program shall be handled by the Director of Finance of the city. The books of the program shall be audited annually by a certified public accountant as part of the city's audit.
