(a) Pursuant to the Village Charter, a Planning and Zoning Commission is hereby created and established. Such Commission shall be composed of five (5) members who reside in the incorporated area of the Village and shall include the Mayor and four (4) citizens of the Village to be appointed by the Mayor for terms of six (6) years each, except that the term of one (1) of such members of the first commission shall be four (4) years and one for two (2) years.

(b) The Commission shall adopt rules necessary to the conduct of its affairs in keeping with the provisions of the Zoning Ordinance.
(c) Commission meetings shall be held at the call of the Chairman and at such other times as the Commission may determine. All meetings shall be open to the public. The Commission shall keep minutes of its proceedings showing the vote upon each question, or if absent or failing to vote, indicating such fact, and shall keep records of its examinations and other official actions, all of which shall be a public record.
(d) All such members shall serve without compensation.
