The VSP shall be responsible for a pro rata share of the PEG Access Payment that the incumbent VSP provides to the City of Norwood pursuant to Exhibit B of the Cable Franchise Agreement. A VSP’s pro rata share of the PEG Access Payment shall be based on its proportion of video service subscribers with service addresses in the City. For the purpose of determining the pro rata shares, all VSPs shall report quarterly to the City the total number of subscribers served within the City. This information shall be treated as confidential by the City and shall only be used to derive the pro rata shares. The VSP shall remit its pro rata share to the City via any appropriate negotiable instrument payable to City of Norwood, 4645 Montgomery Road, Cincinnati, Ohio 45212 not sooner than forty-five nor later than sixty days after the preceding calendar quarter.
