(A) Creation. A board is hereby created, which shall be known as the Sister Cities Board of Midway, Kentucky.
(B) Members. The Board shall consist of up to 7, but no less than 5 members, appointed by the Mayor and subject to confirmation by a majority of the City Council.
(1) The terms of office of the Board members shall be for 3 years from the date of appointment, provided the terms of the originally appointed members shall be staggered in the following manner:
(a) At least 3 members shall be appointed for 3 years.
(b) At least 2 members shall be appointed for 2 years.
(c) Additional appointees on the initial Board may be appointed for terms up to 3 years, at the Mayor's discretion and affirmed by the City Council.
(2) Vacancies on the Board shall be filled for the unexpired term in the manner prescribed for the original appointment to maintain the minimum of 5 members.
(3) Vacancies of the sixth or seventh positions may be filled at the Mayor's discretion and affirmed by the City Council.
(4) Board appointees shall be residents of, or owners of businesses in, Woodford County, Kentucky.
(5) Any Board member may be reappointed for additional terms, not to exceed 3 consecutive 3-year terms.
(C) Officers. The officers of the Board shall consist of a chairperson and a vice-chairperson appointed by the Mayor, and other officers elected by the Board.
(1) Their duties shall be as implied by their respective titles and as may be specified in the Board by-laws.
(2) The Board shall determine its own rules and order of business and shall provide for keeping a record of its proceedings, a copy of which shall be provided to the Mayor and Council within 10 days of a Board meeting.
(D) Transaction of business.
(1) A majority of the members of the Board shall constitute a quorum for the transaction of business at any meeting.
(2) The acts of the majority of those members present in any regular or special meeting of the Board shall be the acts of the Board.
(E) Duties. The Board shall perform the following duties:
(1) The Board shall cause the people of Midway and Woodford County, Kentucky, and the people of similar jurisdictions of foreign nations to acquire a consciousness of each other, to understand one another as individuals, as members of their community, as citizens of their country, and as part of the family of nations.
(2) As a consequence of such knowledge and consciousness, the Board shall foster a continuing relationship of mutual concern between the people of Midway and Woodford County, Kentucky, and the people of similar jurisdictions of other nations.
(3) Both in seeking and in consequence of such consciousness and concern, the Board shall undertake any activities and programs as will provide to one another appropriate aid and comfort, education and mutual understanding.
(4) The Board may solicit and receive contributions and obtain grants and loans appropriate to the goals of the Board.
(5) The Board may enter into contracts, expend its funds, and adopt by-laws, rules and regulations as are necessary to carry out its duties and purposes as set forth in this section.
(6) The Board shall submit an annual report and financial statements, which summarize the previous year's activities, to the Mayor and City Council.
(7) The Board may establish committees, headed by Board members, which shall include interested members of the public, for the purpose of carrying out the duties as set forth herein.
(8) The Board may perform any other act necessary or appropriate to carry out the purposes of this section.
