(A) Each Director of the Division shall serve on the Committee.
(B) The Board Chair shall serve on the Committee Chair unless the Board Chair appoints another Director to serve for up to four years.
(C) The Committee is responsible for the approval of the outside auditing firm to audit Metra’s financial statements.
(D) The Committee may engage outside consultants on a standby basis to perform audits, directives and investigations as directed by the Committee; provided that such contracts initially do not exceed $250,000.
(E) To the extent practicable, the Committee shall procure such consulting contracts with the assistance of the Procurement Department of the Corporation.
