§ 10.016 APPOINTMENT OF CHAIRPERSON AND VICE-CHAIRPERSON.
   (A)   The Chairperson and Vice-Chairperson will each serve a term of four years. The terms of the Chairperson and Vice-Chairperson begin upon the date that the Chairperson or Vice-Chairperson is appointed to that position by the Board. The appointment of the Chairperson must be with the concurrence of eight Directors. The appointment of the Vice-Chairperson must be with the concurrence of six Directors.
   (B)   For purposes of these by-laws, each Director shall be categorized as a “Cook County Director” if that Director resides in Cook County, or a “Collar County Director” if that Director resides outside of Cook County.
   (C)   Upon the expiration of the Chairperson’s term, within 90 days, the Board will appoint one of its members for a new four-year term. If the Chairperson whose term has expired was a Cook County Director, then the new Chairperson appointed by the Board will be a Collar County Director. If the Chairperson whose term has expired was a Collar County Director, then the new Chairperson appointed by the Board shall be a Cook County Director.
   (D)   Upon the expiration of the Vice-Chairperson’s term, within 90 days the Board will appoint one of its members for a new four-year term.
   (E)   If the Chairperson is a Cook County Director, then the Vice-Chairperson shall be a Collar County Director. If the Chairperson is a Collar County Director, then the Vice-Chairperson shall be a Cook County Director.
   (F)   If a vacancy occurs in the office of Chairperson or Vice-Chairperson for any reason other than the expiration of the four-year term, then, within 90 days of that vacancy, the remaining Directors will appoint one of themselves to serve the balance of the unexpired term. If the unexpired term was filled by a Cook County Director, then the Director appointed to serve the balance of the term will also be a Cook County Director. If the unexpired term was filled by a Collar County Director, then the Director appointed to serve the balance of the term will also be a Collar County Director.
   (G)   If the vacancy occurs in the office of the Chairperson for any reason other than the expiration of the four-year term, then the Vice-Chairperson will temporarily serve as Acting Chairperson for a period not to exceed 90 days. During the 90-day period that the Vice-Chairperson temporarily serves as Acting Chairperson, the office of the Vice-Chairperson will remain vacant; upon the appointment of the Chairperson, the Vice-Chairperson will return to that office. If, at the expiration of the 90-day period, no Chairperson has been appointed, then the Vice-Chairperson shall possess only the following functions normally performed by the Chairperson: presiding over Board meetings and accepting requests for items to be placed on the agenda as authorized by these by-laws. When the office of Chairperson remains vacant for more than 90 days, all time that elapses after the vacancy shall count toward the expiration of the four-year term.
   (H)   The Secretary, Assistant Secretaries, Treasurer and Assistant Treasurers shall be appointed, retained or dismissed with the concurrence of six Directors. The Secretary and Treasurer shall serve a term of four years or for the duration of his or her appointment to the Board, whichever expires first. Assistant Secretaries and Assistant Treasurers shall serve at the pleasure of the Board until removed.
