§ 111.015 PARTICIPATION IN REGIONAL FARE PAYMENT SYSTEM.
   (A)   The Board authorizes the Executive Director to enter into the intergovernmental agreement (“IGA”) between Metra, the CTA and Pace, setting out the general guidelines of Metra’s participation in the Ventra to establish a regional fare payment system.
   (B)   The Board authorizes the Executive Director to enter into the third supplement agreement relating to open standards fare system and services (“third supplement”) between the Metra, the CTA, Pace and Cubic, governing Cubic’s development of the Ventra mobile application and the Metra on-board application and associated software.
   (C)   The Board authorizes the Executive Director into the master system and services agreement (“master agreement”) between Metra and Cubic, setting out the overarching terms of Metra’s relationship with Cubic with respect to Ventra.
   (D)   The Board authorizes the Executive Director to enter into the project agreement to master systems and services agreement (“project agreement”) between Metra and Cubic, setting out the terms related to the on-going hosted services necessary for the mobile applications developed by Cubic under the third supplement.
   (E)   The IGA, the third supplement, the master agreement and the project agreement (collectively the “agreement”), in forms substantially similar to those copies made available to the Board, are hereby approved.
   (F)   The Executive Director of Metra is hereby authorized and directed on behalf of Metra to execute and deliver said agreements and all subsequent amendments thereto, and the Assistant Secretary is hereby authorized to attest said agreements and all subsequent amendments thereto. The Executive Director shall report to the Board all substantive amendments executed under this section.
   (G)   The Executive Director is hereby authorized and directed to take such action as he or she deems necessary or appropriate to implement, administer and enforce said agreements and all subsequent amendments thereto.
