The Committee shall prepare, or cause to be prepared, an annual report for each plan year containing such financial statements and other information in such form and for such delivery and availability, at such times and in such manner, as may be required by ERISA or the Code and the regulations thereunder, and the Committee shall retain such records for such periods as may be required by such laws and regulations.
