§ 33.139 PARTIAL EXCULPATION.
   The employer, its directors, officers, employees and agents (other than the Plan Administrator); the members of the Committee; or any of them shall not incur any personal liability for the breach of any responsibility, obligation or duty except as provided in ERISA in connection with any act done or omitted to be done in good faith in the management and administration of the plan, and shall be indemnified and held harmless by the employer from and against any such personal liability (without regard to any limitation on exculpation imposed by ERISA), including all expenses reasonably incurred in its or their defense in case the employer fails to provide such defense.
