§ 33.41 ESTABLISHMENT; MEMBERS.
   (A)   There shall be the Planning Commission of the city.

   (B)   The Planning Commission shall consist of seven members appointed by the Council from among the residents of the city and neighboring townships. One member shall be ex-officio, to be appointed by the Council from its own membership, to serve as liaison with the Planning Commission. Members other than ex-officio shall be appointed from among persons in a position to represent the general public interest, and no person shall be appointed with private or personal interests likely to conflict with the general public interest.

   (C)   Terms of office for members other than ex-officio shall commence on February 1 and shall be for three years, or until the member's successor is appointee and qualified. The ex-officio members shall serve at the pleasure of the Council. Ex-officio membership on the Commission shall terminate upon termination of the office from which ex-officio membership is derived.

   (D)   At the first regular meeting of each calendar year, or as soon as thereafter may be done, the Council shall appoint members for any term which will then expire.

   (E)   When the private or personal interest of a member is involved in any matter before the Commission, the member shall not take part in action on the matter. If the member fails to do so, the member may be disqualified by the Chairperson of the Commission.

   (F)   Any member, for just cause and upon written charges, may be removed from office by a two-thirds vote of the entire Council. The member shall be entitled to a public hearing before the vote is taken. Any member may be removed for nonattendance at Commission meetings, without action of the Council, according to rules adopted by the Commission.

   (G)   The Chairperson of the Commission shall notify the Council promptly of any vacancies occurring upon the Commission. The Council shall fill any vacancy for the unexpired portion of the original term of appointment.

   (H)   The Commission shall elect the Chairperson and Vice-Chairperson from among those of its members who are not ex-officio members, and may create other offices as they may determine. It shall provide itself with a secretary, either by election from among its members or by appointment of an officer or employee of the city who is not a member of the Commission. Terms of all officers shall be for one year, or until their successors are qualified. Any officer shall be eligible for reelection.

   (I)   All members, including the Chairperson and the ex-officio members, shall be entitled to vote and shall otherwise have full rights and privileges of a member of the Commission. A secretary who is not a member of the Commission shall not be entitled to vote or to exercise the other rights and privileges of a member.

   (J)   Members of the Commission may receive payment for their services upon the Commission. The amount of the payment shall be established by the Council by resolution from time to time. Members may receive necessary travel and other expenses while on official business for the Commission, as approved by the Council.
