(a) Annual Performance Reviews. The City Ethics Commission shall review and evaluate the performance of the Executive Officer. These reviews shall occur not less than once every 12 months but may be conducted more often at the discretion of the Commission. Every member of the Commission shall be given the opportunity to state his or her assessment of the Executive Officer’s performance.
(b) Termination.
(1) Notwithstanding any procedural requirement of this section, the Executive Officer shall serve at the will of the Commission and shall have no property interest in his or her employment. The Executive officer may be terminated without cause but may not be terminated for any unlawful or unconstitutional reason.
(2) Should the Commission decide that it wishes to consider the termination of the Executive Officer, the Commission shall provide the Executive Officer with written notification of that intention at least seven days prior to taking any action thereon. That notification shall inform the Executive Officer of the date, time and place of the Commission meeting at which the matter will be first considered. At that meeting, and prior to the Commission taking any action on any such termination, the members of the Commission present and the Executive Officer shall engage in a discussion of the matter. The Commission may thereafter, at that or another meeting, take action on the matter of such termination.
(3) The Executive Officer may not be terminated unless a performance review has been conducted within 12 months prior to the decision to terminate. Nevertheless, the Executive Officer may be terminated notwithstanding the results of any performance review.
(4) Neither the substance of, nor any alleged defect in, the annual performance review or the pre-termination discussion shall form a basis for any judicial challenge to the termination of the Executive Officer.
