(a) The Board shall be comprised of five members who shall be residents of either the Village or Township, who shall serve without compensation.
(b) (1) One member of the Board shall be designated as chairperson. Initially the chairperson shall be Ken Sooy, who shall serve in that capacity until December 31, 1998. Thereafter, a chairperson will be appointed for a term of one year on an alternating basis by the Township and Village. The Township shall appoint the chairperson commencing January 1, 1999.
(2) In the event of a vacancy in the seat of chairperson, the subdivision which appointed the last chairperson shall appoint a replacement to complete the term.
(c) (1) The Village will appoint two other board members, and the Township shall appoint two other board members.
(2) The Village will then appoint (or reappoint) a replacement board member for one of its original appointees on January 1, 1999, to serve a term of four years. The Township and Village will then alternate appointing replacement board members, annually on January 1, to serve four year terms.
(3) Vacancies, occurring otherwise than by expiration of term, shall be for the unexpired term and shall be filled in the same manner as the original appointments.
(d) The appointing subdivision may remove any appointee, including the chairperson, without cause at any time.
