§ 154.02 BOARD MEMBERSHIP, QUALIFICATIONS AND THE LIKE.
   (A)   The Authority shall be under the supervision and control of a Board consisting of the chief executive officer of the township and not less than eight, nor more than 12, members.
   (B)   All members shall be appointed by the chief executive officer, subject to approval by the governing body.
   (C)   A majority of the members appointed shall be persons having an interest in property located in the downtown district.
   (D)   At least one of the members shall be a resident or business operator of the downtown district.
   (E)   Members should be appointed on staggered terms with an equal number appointed for one year, two years, three years and four years. Members shall hold office until the members successor is appointed. Thereafter, each member shall serve for a term of four years.
   (F)   A vacancy shall be filled by an appointment made by the chief executive officer for the unexpired term only. All members of the Board shall serve without compensation, but shall be reimbursed for actual and necessary expenses as provided for by the applicable provisions of the Internal Revenue Code of 1986, as it presently exists or may hereafter be amended.
   (G)   The Chairperson of the Board shall be elected by the Board.
   (H)   Before assuming the duties of office, a member shall qualify by taking and subscribing to the constitutional oath of office.
