§ 31.20 BOARDS AND COMMISSIONS GENERALLY.
   (A)   All board and commission members shall serve in an advisory capacity to the Council. The term of each appointee shall be established and stated at the time of his or her appointment, and terms of present board and commission members may be reestablished and changed so as to give effect to this section. New appointees shall assume office at the first meeting after the appointment. All vacancies shall be filled in the same manner as for an expired term, but the appointment shall be only for the unexpired term. All appointed board and commission members shall be paid a stipend at a rate set by the Council.
   (B)   The Chairperson shall be chosen from the board or commission membership annually to serve for 1 year; provided, however, that no Chairperson shall be elected who has not completed at least 1 year as a member of the board or commission. Any board or commission member may be removed by the Council for misfeasance, malfeasance or non-feasance in office and his or her position filled as any other vacancy.
   (C)   Each board and commission shall hold its regular meeting at a time established and approved by the Council. All members shall be residents of the city, except that 2 members of each board or commission may be residents of a neighboring township if the Council deems such arrangement more representative.
   (D)   The process of appointment to a city board or commission shall be as follows:
      (1)   At any time the candidate fills out an application, which shall be retained by the City Clerk or designee until a vacancy or unexpired term on the requested board or commission occurs.
      (2)   The appropriate board or commission shall interview the applicants at an open meeting. The board or commission members shall prepare questions for the applicants. Each board or commission may determine whether the interviews shall be conducted by the entire commission or a subcommittee.
      (3)   After the interviews, deliberation about the applicants shall occur at an open meeting attended by a quorum of the members of the board or commission. A majority of the quorum present shall recommend applicants to the City Council to fill vacancies or unexpired terms. Then-sitting members whose terms will be expiring may vote on their own vacancy and any other vacancies. If a board or commission cannot muster a quorum to vote on the candidates, the names of all candidates will be forwarded to the Council.
      (4)   The City Administrator shall place approval/disapproval of the recommended candidates on the agenda for the next City Council meeting if practical. The City Council shall vote to approve or not approve each applicant recommended by the various boards and commissions. However, pursuant to M.S. § 469.095, Subd. 2, commissioners of the EDA shall be appointed by the Mayor with the approval of the City Council.
   (E)   City employees who are residents may serve on boards and commissions if there is no conflict of interest. The City Administrator or designee shall be the staff liaison to all board and commissions, but shall have no voting rights and cannot make motions. One of the members of each board and commission shall be a Council member appointed annually, but not to extend beyond the end of the then-current term being served by the Council member. Pursuant to M.S. § 469.095, Subd. 2, 2 members of the EDA must be Council members. The Council member shall serve as an ex-officio member of the board or commission with rights to vote and make motions.
   (F)   Except as otherwise provided, this section shall apply to all boards and commissions.
