§ 31.084 OFFICERS.
   (A)   The officers of the Board shall consist of chairperson, vice-chairperson and a secretary.
   (B)   Election of officers shall take place immediately following nominations. Voting shall take place in one of the following ways: voice, show of hands, rising, balloting or roll call.
   (C)   The first regular meeting held in January shall be the date of the annual election and those officers elected at this time shall immediately take office and serve for one year.
   (D)   The chairperson shall be the presiding officer at all meetings and hearings of the Board. He or she shall conduct business only for the benefit of the Board involved and shall reflect no personal prejudice in any matter. The chairperson shall conduct all meetings according to Robert’s Rules of Order and his or her duties are as follows:
      (1)   To open and call the meeting to order;
      (2)   To announce the order of business to be conducted;
      (3)   To recognize members entitled to the floor;
      (4)   To state and put to vote all questions which are regularly moved or necessarily rise in the course of proceedings and to announce the result of the vote;
      (5)   To vote on all matters before the Board, if he or she so chooses;
      (6)   To keep the Board from unnecessary or frivolous motions by not recognizing them;
      (7)   To speed up proceedings as much as possible;
      (8)   To inform the group present to a point of order or a practice pertinent to pending business; and
      (9)   After the Board’s approval, the chairperson is to authenticate all actions, orders and proceedings of the Board by his or her signature.
   (E)   The vice-chairperson shall assist the chairperson in any way possible upon the chairperson’s request. Upon the absence of the chairperson, the vice-chairperson shall automatically become the presiding officer of the Board and shall have all powers, duties and responsibilities of the chairperson as set out in these bylaws.
   (F)   The duties of the secretary/treasurer are as follows:
      (1)   To keep records and minutes of each meeting or hearing of the Board;
      (2)   To keep a roll of members and to call the roll when required;
      (3)   To notify officers and Board members of their appointment and to furnish the Board members with minutes of the previous Board meeting and of all applications;
      (4)   To record the number of votes for and against each question put to vote;
      (5)   To indicate any absences or disqualifications from voting when a question is put to vote, and other duties which may be assigned to him or her; and
      (6)   To issue any checks regarding Board business as co-signed by the chairperson.
   (G)   In the event that the chairperson and vice-chairperson are absent, the members present shall elect a temporary vice-chairperson with said temporary vice-chairperson having all powers and duties of the regular and duly elected chairperson and vice-chairperson.
