§ 32.11 AUDITORIUM BOARD.
   (A)   The City Council shall appoint the Auditorium Board. The Board shall consist of seven members who shall be residents of the municipality. The term of the Board members shall be staggered, with two members appointed for an initial term of one year, two members appointed for an initial term of two years, and three members appointed for an initial term of three years. Thereafter, appointments or re-appointments to the Board shall be for a term of three years.
   (B)   The members of the Board shall serve without compensation and may be required, in the discretion of the City Council, to give a bond in a sum set by resolution of the City Council, and conditioned upon the faithful performance of their duties. At the time of the Board’s first meeting in August of each year, the Board shall organize by selecting from its number a Chairperson and Secretary. It shall be the duty of the Secretary to keep the full and correct minutes and records of all meetings and to file the same with the City Clerk where they shall be available for public inspection at any reasonable time. A majority of the Board members shall constitute a quorum for the transaction of business. The Board shall meet at times as the City Council may designate. Special meetings may be held upon the call of the Chairperson or any four of the Board members.
   (C)   It shall be the duty of the Board to take immediate charge of the City Auditorium. The Board shall be responsible for making reports and performing other duties as the City Council may, from time to time, designate. No member of the City Council shall serve as a member of the Auditorium Board while serving a term of office as a member of the City Council. No member of the Auditorium Board shall serve in the capacity of both the Chairperson and Secretary of the Board.
