§ 16-102 MEMBERSHIP, TERMS, INTEREST AND COMPENSATION.
   (a)   The Planning Commission shall be composed of seven members, of which five members shall be residents of the city and two members shall be residents outside the city, but within the three-mile designated planning area of the city’s corporate limits. Members shall be appointed by the Mayor with the consent of the Governing Body at the first regular meeting of the Governing Body in May of each year and shall take office at the next regular meeting of the Commission.
   (b)   Members shall be appointed for staggered three-year terms. The terms of the two members residing outside of the city’s corporate limits shall be staggered such that they do not both expire within the same year. A vacancy on the Commission created by reason of death, incapacity, resignation or disqualification of any member, shall be filled by appointment for the remainder of such member’s unexpired term. The Governing Body may adopt rules and regulations to provide for removal of members of the Commission.
   (c)   Any member having a conflict of interest, either directly or indirectly, in any matter coming before the Commission, shall be disqualified to discuss or vote on the matter.
   (d)   Members shall serve without compensation, but may be reimbursed for expenses actually incurred in the performance of their duties as deemed appropriate by the Governing Body.
