(A) The name of the agency to serve as the governing authority for the Bobby Davis Museum and Park of Hazard and Perry County, Kentucky (the “Museum”) shall be the Board of Commissioners of the City Commissioners.
(B) The Commissioners shall appoint a an initial Board of Trustees consisting of eight members with an Executive Director being also to be appointed by the Commissioners. The eight members of the Board of Trustees shall be classified with respect to the time for which they hold office, into four classes, each class consisting of two members. One class is to serve originally for a one-year term, another class to serve originally for a two-year term, another class to serve originally for a three-year term, and another class to serve originally for a four-year term, with the members of each class to hold office until the successors of such class are appointed and qualified. After the appointment of the initial Board of Trustees, the Board of Trustees may exercise its rights under Article XIII of the Articles of Incorporation to amend the Articles to change the number of Trustees, but all such amendments shall be approved in advance by the Board of Commissioners, and the terms of the Trustees thus appointed shall continue to be staggered on such basis as may be determined by the Board of Trustees and approved by the Commissioners. Annually, at least 30 days prior to the expiration of any member’s term, the Board of Commissioners of the city shall appoint the successors of the class of trustees whose term shall expire that year, and each such successor trustee shall hold office for a term of four years. Members of the Board of Trustees shall serve without compensation but shall be reimbursed for necessary expenses incurred in the performance of their duties.
(C) The operations of the Museum shall be principally financed by contributions from the city at such level(s) as may, from time to time, be determined by the Commissioners.
(D) The officers of the Board of Trustees shall be President, Vice President, and Secretary/Treasurer. The officers shall be chosen by the Board of Trustees and shall be chosen from the Board of Trustees except that the Executive Director of the Museum may be chosen as Secretary/Treasurer.
(E) The Board of Trustees shall operate the Museum in compliance with all laws and regulations currently in force or hereafter adopted.
(F) Any real or personal property acquired by the Museum shall be acquired and held in the name of the Bobby Davis Museum and Park of Hazard and Perry County, Kentucky.
