(A) The Authority shall be under the supervision and control of a Board of Directors consisting of the Mayor of the city and not less than eight nor more than 12 members appointed by the Mayor, subject to approval by the City Council. Not less than a majority of the members shall be persons having an interest in property in the Downtown District. At least one Director shall be a resident of the Downtown District, if the Downtown District has 100 or more persons residing within it.
(B) The terms of the Directors shall be four years with terms beginning January 1 and ending December 31 or upon the appointment of a successor. When a vacancy occurs, the Mayor, subject to the approval of the City Council, shall make an appointment to fill the remainder of the term.
(C) The members of the Board shall elect the chairperson and any other officers of the Board.
