The Board of Hospital Trustees shall hold meetings at least once a month, and shall adopt all necessary rules for the regulation of its business. It shall keep a complete record of all its proceedings, which record, or a copy thereof, duly certified by the clerk of the Board, shall be competent evidence of the transaction of the Board in all the courts of the State, and the ayes and nays shall be called upon the passage of every resolution or order. Five members of the Board shall constitute a quorum for the transaction of all business, and no resolution or order shall be adopted, or contract or other obligation entered into unless five members vote in favor thereof. No member of the Board shall be interested, directly or indirectly, in any contract concerning the hospital.
