§ 94.03 BOARD OF DIRECTORS.
   (A)   Established. The affairs of each library shall be managed and controlled by a Board of six Directors, two to serve until the next election held in an odd-numbered year in the village, two to serve until the second such election after their election, and two to serve until the third such election after their election. As the term of the Directors expire, their successors shall be elected to hold their office for six years and until their successors are elected and qualified.
   (B)   Vacancies. Vacancies in the Board of Directors, occasioned by removals, resignation or otherwise, shall be reported to the Village Board, and may be filled by appointment of a Director for the unexpired term of the Village President, with the consent of the Village Board, until the time of the next general election at which time a Director shall be elected to fill said vacancy, and no Director shall receive compensation as such.
   (C)   Meeting and organization. Such Directors shall, immediately after appointment, meet and organize by election of one of their number as president and by the election of such other officers as they may deem necessary. They shall make and adopt such bylaws, rules and regulations for their own guidance and for the government of the library and reading room as may be expedient and not inconsistent with the provisions of this chapter. They shall have the exclusive control of the expenditure of all monies collected to the credit of the library fund and of the supervision, care and custody of the grounds, room or buildings constructed, leased or set apart for library purposes. Said Board shall appoint a suitable librarian and necessary assistants and fix their compensation, and shall also have power to remove such appointees; and shall, in general, carry out the spirit and intent of this chapter in establishing and maintaining a public library and reading room. The Board may make all reasonable rules and regulations in order to render the use of the library and reading room of the greatest benefit to the greatest number; and said Board may exclude from the use of said library and reading room any and all persons residing out of the village upon such terms and conditions as said Board may from time to time by its regulations prescribe.
   (D)   Report to Village Board. The Board of Directors shall make and submit, 30 days before the end of the fiscal year, an annual report to the Village Board, stating the condition of their trust on May 1 of that year, the various sums of money received from the library fund and from other sources, and how such monies have been expended and for what purposes; the number of volumes at the end of the year in the juvenile and adult departments together with complete totals; the number of periodicals received through subscription; the number of volumes lent for home use in the juvenile and adult departments together with complete totals; the number of persons registered as borrowers; and such other information and suggestions as they deem of general interest. All such portions of said report as relate to the receipt and expenditure of money, as well as the number of books on hand, books lost or missing, and books purchased, shall be verified by affidavit.
