§ 35.02 COMPOSITION, APPOINTMENT AND OTHER MATTERS RELATED TO BOARD PERSONNEL.
   (A)   The Board shall be composed of seven members including:
      (1)   The Mayor of the City of Flemingsburg, Kentucky, or his/her designee;
      (2)   A City Councilperson of the City of Flemingsburg, Kentucky;
      (3)   Five persons of age 18 or older, all being residents of Fleming County, Kentucky, with at least three of the five being either residents of the city, or persons who own and maintain a business within the city limits of the city.
   (B)   All members of the Board except the Mayor shall serve for the duration of the term of office of the City Council who appointed them, and shall be subject to re-appointment by successor City Councils for the new Council’s term of office. The Mayor or his/her designee shall serve for the duration of the term of office of the Mayor who appointed him/her, and shall be subject to re-appointment by any successor Mayor for the new Mayor’s term of office.
   (C)   All appointments to the Board shall be made by the Mayor, subject to the approval of the City Council.
   (D)   Both the Mayor and the City Councilperson appointed as a Board member shall have the authority to decide upon matters brought before the Board as full voting members.
   (E)   The Board shall elect from its voting membership:
      (1)   A Chairperson, who shall preside at its meetings;
      (2)   A Vice-Chairperson, who shall preside in the Chairperson’s absence; and
      (3)   A Secretary-Treasurer, who shall maintain and control the funds of the Board in accordance with direction of the Board. The Chairperson (or Vice-Chair) shall have voting rights for each motion presented for vote by the Board.
   (F)   The Board members shall serve without compensation, but shall be reimbursed for any reasonable personal expenses incurred as a result of their activities as a Board member.
   (G)   The city shall save and hold harmless from civil liability any Board member acting in good faith while pursuing his/her duties in accordance with this subchapter.
