§ 32.40  HISTORIC DISTRICT BOARD OF REVIEW.
   (A)   The official name of the board shall be The Edinburgh Downtown Historic District Board of Review.
   (B)   The Board shall consist of not more than five voting members.
   (C)   The Town Executive shall appoint all voting members subject to the approval of the Edinburgh Town Council.
   (D)   All voting members shall serve for a term of three years except the initial board shall have two members that serve for three years, two members for two years, and one member for one year so as to stagger the terms as provided by statute.
   (E)   Any vacancy in the Board shall be filled for the duration of the existing term of that Board member.
   (F)   All Board members shall be interested in the historic preservation of the downtown historic area and in the preservation and development of the historic area.
   (G)   Board members must be at least 18 years of age and must be residents of the town.
   (H)   The Town Council may appoint advisory members to the Board that it deems appropriate.
   (I)   Two members of the Historic Board shall be the two Town Council members who are on the Town Planning Commission.
   (J)   The Board itself may appoint an administrator to serve without compensation except reasonable expenses or the board may operate without the duties of an administrator and said administrator may or may not be an officer or employee of the town.
   (K)   The Board shall elect from its own membership a chairman and vice-chairman which will serve for terms of one year and may be reelected.
      (1)   The Board shall adopt rules consistent with the statutes pertaining to historic preservation and the transaction of business including time and place of meetings and a procedure for calling special meetings.  All meetings of the board shall be open to the public and a public record of the board's resolutions, proceedings and actions shall be kept.
   (M)   If the Board has an administrator, the administrator shall act as the board secretary; otherwise, the Board shall elect a secretary from its membership.
   (N)   The Board is to hold regular meetings, at least monthly except when it has no business pending.  All decisions of the board are subject to judicial review pursuant to IC 4-21.5-5 as if they were decisions of a state agency.
