§ 32.068 DPAC MEMBERS.
   (A)   Make-up of DPAC. DPAC shall consist of: 12 voting members; six ex officio non-voting members; and one institutional voting member.
      (1)   The six ex officio members shall provide information and advice to DPAC.
      (2)   The six ex officio members include: Covington Parks and Recreation Manager or other appropriate staff member; representative of the Children’s Home of Northern Kentucky; two representatives of the William P. Devou Trust; representative of the Devou Golf and Event Center; and a representative from the Devou Park Trail Collective. The ex officio members are appointed by their respective entities’ governing bodies.
      (3)   The institutional voting member will be a representative of the Behringer-Crawford Museum who is appointed by the museum’s governing board.
   (B)   Terms. The voting members’ terms shall be for three years. The terms shall be staggered so that four voting members shall be appointed each year to serve three-year terms.
   (C)   Appointment. The Mayor will nominate the voting members of DPAC subject to the approval of the Board of Commissioners.
   (D)   Removal. A member may be removed by the Board of Commissioners for inefficiency, neglect of duty, failure to attend meetings, malfeasance or conflict of interest.
   (E)   Officers. DPAC shall annually nominate and select a Chairperson, Vice Chairperson and a Secretary.
      (1)   Election of officers. At the annual meeting, the Committee shall elect from its membership the following officers who shall serve in said capacity for two years from the date of election and until their respective successors have been duly elected: Chair; Vice-Chair; and Secretary. Officers may serve two consecutive terms in each of the above listed positions.
      (2)   Special elections. In the event a vacancy shall occur in any of the said offices, for any reason, an election may be held at any regular or special meeting to select a replacement. Notice of such election shall be given in the notice of call of the meeting.
   (F)   Bylaws. DPAC shall adopt bylaws.
