(A) Commissioners of the city’s Motor Vehicle Parking Authority Board shall be appointed by the Mayor of the city, subject to the approval of the Board of Commissioners for a four-year term, with exception to the initial appointments to the Parking Authority Board as set forth in division (B) below.
(B) The initial appointment to the Parking Authority Board shall be as follows:
(1) One Commissioner appointed to a one- year term;
(2) One Commissioner appointed to a two- year term;
(3) One Commissioner appointed to a three- year term; and
(4) Two Commissioners appointed to a four-year term.
(C) Any vacancy on the Board shall be filled by the Mayor subject to approval of the City Commission within 60 days of the vacancy.
(D) The Commissioners shall constitute the governing body of the Parking Authority and shall adopt such bylaws, rules and regulations as are necessary for governing the Parking Authority.
(E) A Commissioner may be removed from the office by a majority vote of the Mayor and City Board of Commissioners for inefficiency, neglect of duty, misfeasance, non-feasance or malfeasance. Prior to removal, the Commissioner shall receive at least ten days’ written notice of the hearing regarding the charges for removal. At the hearing, the member may be represented by counsel and may appear personally and present such pertinent evidence as he or she wishes. If, after the hearing, the Mayor and City Commission vote by a majority for removal, they shall remove the Commissioner from the Authority within seven days and there shall be a vacancy of the office.
(F) The Commissioners of the Parking Authority are a body corporate constituting a public corporation and a governmental agency within the meaning of KRS 58.010 and shall have all the powers granted by KRS 58.010 to 58.205.
(G) The Mayor and City Commission by majority vote may fix the compensation of the Commissioners whose appointment they approve. The compensation of a Commissioner shall not be decreased during the term to which he or she was appointed.
(H) No Commissioner or employee of the Parking Authority shall acquire any interest, direct or indirect, in any project or in any property including or planned to be included in any project, nor shall have any interest, direct or indirect, in any contract or proposed contract for materials or services to be furnished or sued in connection with any project. If any Commissioner or employee of the Parking Authority owns or controls an interest, direct or indirect in a property included in any project, which interest was acquired prior to appointment or employment, he or she shall disclose the same in writing to the authority at the time of his or her appointment and the disclosure shall be entered upon the minutes of the authority.
