2.44.011 Composition.
   A.   The board of directors of the commons consists of seven members, three appointed by the mayor (the “executive members") and ratified by the board of public works and safety of the city, two appointed by the common council (the “legislative members”), and two continuing members who have derived their appointments from members originally appointed.
   B.   Each of the executive appointments to the commons board shall be ratified by the board of public works and safety. Beginning January 1, 2011, the executive members are initially appointed for the following terms of office: one for a term of one year, one for a term of two years, and one for a term of three years. Each member's term expires on the first Monday of January of the first, second, or third year, respectively, after the year of the member's appointment. When an initial term of a member expires, each new executive appointment of a member is for a term of four years. The executive appointee is not limited on the number of terms that the appointee may serve on the commons board.
   C.   Beginning January 1, 2011, the legislative members were initially appointed for the following terms of office: one for a term of one year, and one for a term of three years. Each member's term expires on the first Monday of January of the first or third year, respectively, after the year of the member's appointment. When an initial term of a member expires, each new legislative appointment of a member is for a term of four years. The legislative appointee is not limited on the number of terms that the appointee may serve on the commons board.
   D.   The two continuing members of the commons board of directors have been appointed by Irwin-Sweeney-Miller Foundation members who have derived their appointments through members initially appointed by Irwin Miller, Xenia S. Miller and Clementine Tangeman. Upon the death or resignation of either of the continuing members, or the inability of either to serve as a director, Heritage Fund-the Community Foundation of Bartholomew County, Inc., shall fill the vacancy thus created, which power shall be a continuing one.
   E.   Heritage Fund's executive committee shall consult with advisors to any donor-advised fund established at Heritage Fund by Irwin-Sweeney-Miller Foundation about candidates to be considered as continuing members of the commons board. The executive committee shall recommend any such appointment to the Heritage Fund Board for final approval. Such appointments shall be held until the death or resignation of the continuing member or the inability of either to serve as a director.
