166.03 BOARD OF DIRECTORS.
   (a)   The Port Authority shall be governed by a five member Board of Directors, all of whom shall serve for a term of five (5) years.
   (b)   Members of the Board of Directors shall be appointed by and with the advice and consent of this Council.
   (c)   The directors of any port authority first appointed shall serve staggered terms of one (1), two (2), and three (3) years after appointment. Thereafter each successor shall serve for a term of five (5) years.
   (d)   Any member of the Board of Directors may be eligible for reappointment to the Board of Directors.
   (e)   Upon the resignation or removal of a member of the Board of Directors, or the expiration of the term of office of a member of the Board of Directors, a new member of the Board of Directors shall be appointed by and with the advice and consent of this Council.
   (f)   Any person appointed to fill a vacancy on the Board of Directors shall be appointed to only the unexpired term of that vacancy.
   (g)   Any member of the Board of Directors may be removed by and with the advice and consent of this Council for misfeasance, nonfeasance, or malfeasance in office.
