City officials and employees shall receive full indemnification from Council for any judgment wherein punitive damages are incurred, provided that:
(a) Such employee or City official acted within the performance of his or her duties, following either the advice of proper authority or following established policy and procedure.
(b) Such employee or City official acted reasonably and in good faith.
