The Mayor, the President of Council, the Director of Law, the Clerk of Council and other appropriate officials of the city are hereby authorized and directed, for and in the name and on behalf of the city, to execute any instruments or to take any and all other actions which are necessary or appropriate to consummate the incorporation and creation of the Barberton Community Foundation, to obtain a determination by the Internal Revenue Service that the Foundation is a tax-exempt entity, to qualify the Foundation or its activities under all applicable laws and to accomplish such other transactions relating to the sale of the Barberton Citizens Hospital and the organization and operation of the Foundation which are not substantially adverse to the city and which are permitted by applicable laws.
